1. Acceptance of these terms

These Terms and Conditions govern your use of gbnplanet.com and every service GBN provides. By using the website, sending an enquiry or accepting a Launch Brief, you agree to them. If you do not agree, please do not use the website or GBN's services.

If you accept these terms on behalf of a company or other organization, you confirm that you are authorized to bind it, and “you” then includes that organization. You must be at least 18 years old to engage GBN.

Agreements made electronically, including your acceptance of a Launch Brief by email or WhatsApp, are valid and binding under the Electronic Transactions Law issued by Royal Decree 69/2008.

2. Who GBN is

The website and the services are provided by GBN (Gulf Business Names), a business accelerator and part of Bayan Group, whose office is at Office 301, Globex Business Center, Panorama Mall, Ghoubra, Muscat, Sultanate of Oman. Commercial registration details are available on request. GBN can be reached at info@gbnplanet.com or on +968 9141 2315.

3. Definitions

In these terms: “Launch Brief” means the written proposal GBN issues after your diagnostic session, setting out the scope, timeline, price and applicable government fees of your engagement; “engagement” means the services you accept under a Launch Brief; “briefing” means the session in which you give GBN the information, materials and approvals it needs to begin production; “deliverables” means the names, identity work, files, digital assets, websites and other outputs GBN produces for you; “handover” means the release of deliverables, files and credentials to you; and “Partner Network” means the independent licensed professionals and specialists to whom GBN refers clients.

4. GBN's services and their scope

GBN guides founders through launching a company and delivers its commercial foundations: business name development and the Four-Lock Name Check, corporate identity, digital assets, websites, Business Templates, Riyada Knowledge Bank access and referrals to the Partner Network. GBN guides, prepares, screens, secures, designs, delivers and refers.

GBN offers four packages: Starter (RO 49), Identity (RO 149), Integrated (RO 349) and Market Entry (from RO 1,450, scoped per engagement), together with Launch-Ready Brands and services taken separately. The contents of each package are those published on the Packages page on the date of your Launch Brief, and your Launch Brief records the exact scope of your engagement.

If your Launch Brief and these terms differ, the Launch Brief prevails for that engagement.

5. What GBN does not do

GBN is not a law firm, a sanad office, an audit or accounting practice, a bank or a licensed immigration agent, and does not give legal, tax, audit or accounting advice. GBN does not register companies, file commercial registrations or submit government applications, and does not file trademarks; trademark clearance and registrability opinions come from licensed legal partners.

For Market Entry clients, GBN schedules bank appointments only, with no introduction or advice, and coordinates visa logistics only, with any application made by licensed agents. GBN does not recruit staff.

Name approval, licenses, permits and trademark grants are decisions of the competent authorities. GBN does not guarantee those decisions, or any commercial result such as search rankings, follower numbers or sales.

6. Enquiries, quotations and the Launch Brief

The first diagnostic conversation is free and places no obligation on either side. Prices on the website describe GBN's published packages; they are not a binding offer for your particular case.

After the diagnostic session, GBN issues a Launch Brief, and the quotation in it remains valid for 30 days from issue. An engagement is formed when you accept the Launch Brief in writing, including by email or WhatsApp, and pay the first installment.

Any change of scope after acceptance is quoted in writing, and GBN proceeds with it only once you approve.

7. Prices, VAT and payment

Prices are in Omani rials and are one-time unless stated otherwise. Prices on the website are shown + VAT: value added tax at the rate in force, currently 5% under the Value Added Tax Law issued by Royal Decree 121/2020, is added to the price and shown separately on GBN's invoice with the total payable.

Government and authority fees, such as commercial registration, license, chamber membership and trademark filing fees, are not included in any package. They vary by activity, legal form and capital, and are paid to the authorities through your lawyer or sanad office. The fees of Partner Network professionals, interpreters and other third parties are also separate, unless your Launch Brief states otherwise.

For Starter, Identity and Integrated, 50% of the price is payable to commence and 50% on handover. Market Entry is paid in stages against the milestones in your Launch Brief. Riyada Knowledge Bank subscriptions are paid annually in advance. GBN issues its invoices in Arabic, with English alongside.

If a payment is overdue, GBN may pause work and hold back handover until it is paid, after notifying you in writing. GBN does not charge interest on late payments.

8. Delivery and the 24-hour window

For Starter, Identity and Integrated, GBN delivers the package deliverables within 24 hours of the completed briefing. The briefing is complete when GBN has received all the information, materials and approvals it needs from you to begin, and the window does not start before then.

Commercial registration is outside the 24 hours. It is your own step, completed with a licensed lawyer or sanad office through the Partner Network, and its timing depends on the authorities and on your activity. Market Entry timelines are scoped in your Launch Brief, and Launch-Ready Brands are handed over on the day your commercial registration is issued.

Identity work includes two structured revision rounds at defined stages. Revisions you request after delivery, and delays caused by missing information, late approvals or third parties, fall outside the 24-hour window. Timelines published on the website are indicative for a standard commercial activity; your Launch Brief states the timeline GBN commits to for your case.

9. Your obligations

You agree to give GBN accurate and complete information, to respond to requests for approval without undue delay, and to tell GBN promptly if anything material changes. GBN relies on what you provide and is not responsible for the consequences of information that is inaccurate or incomplete.

You are responsible for any materials you supply to GBN, such as existing logos, text or images, and confirm that you have the right to use them. You are also responsible for the decisions you make after receiving GBN's deliverables, including which name to register and when, and for keeping the credentials handed over to you secure.

10. Name screening and the Name Integrity Assurance

The Four-Lock Name Check screens a name across the commercial register, the domain system, social handles and conflicting brands or names, and records the risk it finds in a written screening report. It is a risk screening that reflects the position on the date of the report. It is not a legal opinion and does not guarantee registration or a trademark grant; trademark clearance and registrability opinions come from licensed legal partners.

Under the Name Integrity Assurance, if a name GBN has cleared through all four locks is rejected at commercial registration, GBN reruns the naming and screening process and re-secures the matching digital assets at no additional cost. The assurance covers the name exactly as cleared and a rejection that relates to the name itself, and does not extend to a rejection for other reasons, such as missing documents, the activity chosen or the applicant's eligibility.

Third-party costs already incurred, such as a domain already purchased, are not refunded under the assurance, and GBN tells you before it buys anything on your behalf. The assurance is in addition to your rights under section 21.

11. Registration and the Partner Network

Partner Network members are independent, licensed third parties. For regulated work, such as commercial registration, legal opinions, trademark filing, audit, accounting and tax, you contract with the partner directly, on the partner's own terms and fees, and the partner is responsible for its professional work and advice.

GBN selects partners with care, introduces them and coordinates with them for you, including throughout registration for Market Entry clients. GBN is not a party to your contract with a partner and is not liable for a partner's advice, acts or omissions.

12. Domains

GBN registers and holds the .com domain in your package as its registrant. You receive full use of the domain, including pointing it to your website and email, for as long as you remain a GBN client and pay the annual renewal fee to GBN.

The package price covers the first registration year. Each renewal after that is paid by you to GBN annually, at the fee GBN notifies you in advance, and GBN then renews the domain so that it does not lapse.

Because GBN is the registrant, you cannot transfer the domain to another registrant or registrar, or take it with you, if you stop being a GBN client. For this purpose, you stop being a GBN client if you end your relationship with GBN, or if a renewal fee remains unpaid 30 days after GBN's written reminder. GBN gives you at least 30 days' written notice before your use of the domain ends, so that you can move your website and email, and never uses a former client's domain to present itself as that client.

Any website, email address or other service that runs on the domain depends on your continued use of it.

13. Social media handles

GBN secures one unified username on each platform included in your package and hands over access and credentials to you at delivery, recorded in a documented credential vault. From handover the accounts are under your control, and you are responsible for them under each platform's terms, including keeping credentials secure and the content you publish.

Platforms set their own rules and may change, suspend or reclaim usernames. GBN secures a handle that is available on the date it is secured, and cannot guarantee that a platform will keep it available. GBN recommends that you change the passwords and turn on two-factor authentication as soon as you receive access.

14. Intellectual property

The identity work created for you, including the name, logo, lockups and brand book, together with their source and print-ready files, transfers to you on full payment for the engagement. Until then, GBN retains all rights in it.

Candidate names, concepts and drafts that you do not select remain GBN's, and GBN may use them elsewhere. Fonts, stock images and other third-party materials used in deliverables are licensed to you on their owners' terms, which GBN identifies at handover.

GBN may show the work it creates for you in its portfolio, on its website and in its company profile once the work is public, unless you ask GBN in writing not to. GBN never discloses confidential information in doing so.

The website and its content, including its text, design, the Four-Lock method, the Business Templates and the Riyada Knowledge Bank editions, belong to GBN or its licensors. You may view and share pages for personal or internal business purposes, but may not copy, republish or sell them without GBN's written permission.

15. Business Templates

Business Templates are licensed, not sold. Your package gives you a non-exclusive, non-transferable license to use and adapt the templates it includes for your own company's internal business use. You may not resell, redistribute, publish or share them outside your company.

The templates are professionally prepared starting points, reviewed by GBN's licensed legal partners. They are not legal advice for your specific circumstances. Where a matter is material to your business, have the document reviewed by a licensed practitioner before you rely on it.

16. Riyada Knowledge Bank

Access to the Riyada Knowledge Bank starts with the Identity package, which opens the Founder shelf. Integrated includes the Startup Track for twelve months, and Market Entry includes the C-Suite Track for up to five executives. Both tracks are also sold separately as annual subscriptions, and Team Licenses are offered on application.

Access is a personal, non-exclusive and non-transferable license for each named user, for the period of your package or subscription. Credentials may not be shared, and editions may not be copied, redistributed or reproduced in any other product.

Knowledge Bank editions are original works of summary, critical reading and regional application. Each edition is attributed to the original author and title, points readers to the original work and does not replace it. The editions are general information, not professional advice.

17. Launch-Ready Brands

Launch-Ready Brands are finished brands from GBN's portfolio, and their prices are quoted on request. Some brands are shown only as portfolio examples and are marked “Not available”; they cannot be reserved. The marks shown on the website are indicative while final artwork is prepared.

A brand is reserved for you only when GBN confirms the reservation in writing, on the terms stated in that confirmation. Once reserved, it is removed from the shelf and is not offered to anyone else. Its identity files, domain use, handles and credentials are handed over on the day your commercial registration is issued, and the identity transfers to you on full payment.

The domain of a Launch-Ready Brand is held under section 12, and its handles are handed over under section 13.

18. Third-party services

Some services depend on third parties that GBN does not control, such as domain registrars, hosting and email providers, social platforms, WhatsApp and Google Maps. Their services are governed by their own terms, and GBN is not responsible for their availability, changes or decisions.

Under the Market Entry concierge mandate, GBN arranges logistics such as ground transport, accommodation, vehicle rental and office viewings. Unless your Launch Brief states otherwise, the cost of those third-party services is payable by you, and the providers' own terms apply.

19. Confidentiality

Mutual confidentiality applies from your first conversation with GBN, including the diagnostic session, whether or not you proceed. GBN keeps your business information, financial information, ownership details and candidate names confidential, uses them only to serve you, and shares them only with the people and Partner Network professionals who need them for your engagement, or where the law requires.

You agree to keep confidential GBN's non-public methods, proposals and materials shared with you during an engagement. These duties continue after the engagement ends.

20. Cancellations and refunds

You may cancel an engagement at any time by writing to info@gbnplanet.com. The refund depends on the stage the work has reached.

Before work starts, you receive a full refund of everything you have paid. Work starts when the briefing is completed, or when GBN begins work at your written request, whichever is earlier.

While work is in progress, GBN refunds what you have paid, less a proportionate charge for the work completed up to cancellation, assessed against the milestones in your Launch Brief where it sets them, and less third-party costs incurred with your approval, such as a domain already purchased. GBN gives you a written breakdown with the refund.

After deliverables are handed over, no refund is given for a change of mind, because the service has been performed. This does not affect your right to have deficient work corrected under section 21.

A Riyada Knowledge Bank subscription may be cancelled with a full refund within 14 days of purchase if no edition has been opened; after that, access continues to the end of the paid period without a refund. Launch-Ready Brand reservations are refunded on the terms stated in the reservation confirmation.

GBN pays refunds within 14 days of confirming the amount, by the method you used to pay wherever possible.

21. Deficient work and your statutory rights

GBN performs its services with reasonable skill and care and in line with the scope in your Launch Brief. If a deliverable does not conform to that scope, tell GBN in writing within three months of handover. GBN will correct or re-perform it at no cost or, if that is not possible, refund the value of the part concerned.

Nothing in these terms excludes or limits the rights you have under the Consumer Protection Law issued by Royal Decree 66/2014 and its Executive Regulations, and you may also contact the Consumer Protection Authority.

22. Disclaimers

Information on the website is general, explains GBN's services and is not professional advice for your circumstances. Statistics are drawn from the sources named alongside them. GBN takes care to keep the website accurate and available, but does not warrant that it will be uninterrupted or error-free, and information may change.

Except as these terms expressly state, GBN gives no guarantee of outcomes that depend on authorities, platforms, markets or other third parties.

23. Limitation of liability

To the extent Omani law permits, GBN's total liability arising from or in connection with a service, whether under contract, for a harmful act or otherwise, is limited to the total fees you paid GBN for that service.

GBN is not liable for indirect or consequential loss, or for loss of profit, revenue, business or opportunity, to the extent the law allows such loss to be excluded.

These limits do not apply to liability for fraud, intentional harm or gross error, to any liability that cannot be limited under Omani law, or to your rights under the Consumer Protection Law.

24. Indemnity

You agree to compensate GBN for the loss, claims and reasonable costs it incurs as a result of your breach of these terms, information you supply that is inaccurate or unlawful, or materials you supply that infringe the rights of others. GBN will tell you promptly of any such claim and will act reasonably to limit the loss.

25. Force majeure

Neither side is liable for delay or failure caused by events beyond its reasonable control, such as natural disasters, severe weather, epidemics, war, government action, or the failure of public networks, platforms or third-party systems. The affected side will notify the other promptly and resume as soon as it can. If the event continues for more than 30 days, either side may end the affected engagement in writing, and section 20 applies to any refund.

26. Suspension and termination

GBN may suspend or end an engagement, after written notice that gives you a reasonable chance to put things right where that is possible, if you fail to pay, materially breach these terms, ask GBN to do something unlawful or contrary to public order, or use a deliverable or the website unlawfully.

On termination, fees for work performed and third-party costs incurred with your approval become payable, sections 12 and 20 apply, and the provisions on intellectual property, confidentiality, liability and disputes continue to apply.

27. Using the website

You agree to use the website lawfully, not to interfere with its operation or security, not to attempt unauthorized access, not to submit false details or another person's details, and not to collect its content by automated means. Links to third-party websites, including WhatsApp and Google Maps, are provided for convenience and are governed by their own terms.

28. Privacy

GBN handles personal data as described in its Privacy Policy, which forms part of these terms.

29. Governing law and disputes

These terms, and every engagement under them, are governed by the laws of the Sultanate of Oman.

If a dispute arises, either side may notify the other in writing, and both will try in good faith to settle it amicably within 30 days of that notice. If it is not settled, the competent courts of Muscat, Sultanate of Oman, have exclusive jurisdiction. This does not prevent you from complaining to the Consumer Protection Authority or any other competent authority.

30. Language

These terms are published in Arabic and English. If the two versions differ, the Arabic version prevails, Arabic being the official language of the Sultanate of Oman and of its courts. The same rule applies to a Launch Brief issued in both languages.

31. Notices

GBN sends notices to the email address or WhatsApp number you gave for your engagement, and you send notices to info@gbnplanet.com. A notice sent by email takes effect on the working day after it is sent, unless the sender receives a delivery failure. A formal notice of dispute should also be sent in writing to GBN's office address.

32. Changes to these terms

GBN may update these terms when its services or the law change. The current version is always published on this page with the date of its last update, and applies from that date to new engagements and to your continued use of the website. An engagement already agreed in a Launch Brief continues on the terms in force when you accepted it, unless both sides agree otherwise in writing.

33. General provisions

If any part of these terms is found invalid, the rest remains in force, and the invalid part is replaced by the valid provision closest to its purpose. A delay in enforcing a right is not a waiver of it. You may not assign an engagement without GBN's written consent. These terms, the Privacy Policy and your Launch Brief form the whole agreement between you and GBN about your engagement.
